Please read these terms carefully before engaging Digishot's services. By proceeding with any project, subscription, or service agreement, you confirm that you have read, understood, and agreed to be bound by these terms.
Acceptance of Terms
These Terms and Conditions ("Terms") govern the relationship between Digishot ("we", "us", "our") and any individual, business, or organisation ("Client", "you", "your") that engages our services, accesses our website at digishot.io, or enters into any service agreement with us.
By signing a service agreement, submitting a project brief, making a payment, or otherwise engaging our services, you acknowledge that you have read these Terms and agree to be legally bound by them.
Important: If you do not agree with any part of these Terms, you must not engage our services. Continued use of our services following any updates to these Terms constitutes your acceptance of the revised Terms.
Services
Digishot provides digital transformation services including, but not limited to: website design and development, search engine optimisation (SEO), AI-powered chatbot development, digital marketing campaigns, brand strategy, traffic optimisation, and e-commerce solutions.
Service Tiers
Our services are offered under three pricing tiers as described on our pricing page. The specific deliverables, timelines, and inclusions for each engagement are defined in a separate Scope of Work ("SOW") document agreed upon before work commences.
Scope Changes
Any material changes to the agreed scope of work must be submitted in writing. Additional work outside the original scope will be quoted separately and requires written approval before proceeding. Digishot reserves the right to adjust timelines accordingly when scope changes are requested.
Third-Party Services
Where our services involve third-party platforms (e.g. social media advertising, hosting providers, CRM integrations), you acknowledge that those platforms have their own terms of service which apply independently. Digishot is not liable for disruptions caused by third-party platform changes.
Payment & Billing
All fees are quoted and invoiced in Armenian Dram (AMD) unless otherwise agreed in writing. Our standard pricing tiers are billed on a monthly basis.
Payment Terms
- Monthly retainer fees are due at the beginning of each billing cycle.
- Project-based engagements require a 50% deposit before work commences, with the remaining balance due upon project completion.
- E-commerce revenue share (applicable to Tier 2 Growth plan) is calculated monthly and invoiced within the first 5 business days of the following month.
- Invoices are payable within 14 calendar days of the invoice date.
Late Payments
Overdue invoices are subject to a late payment fee of 1.5% per month on the outstanding balance. Digishot reserves the right to pause or suspend services for accounts with payments overdue by more than 21 days, without prejudice to any other rights.
Refunds
Monthly retainer fees are non-refundable once a billing cycle has commenced. Deposits for project work are non-refundable if the client cancels after work has begun. Disputes regarding invoices must be raised in writing within 7 days of receipt.
E-Commerce Revenue Share: For Tier 2 clients, the 5% monthly revenue share applies to gross e-commerce revenue directly attributable to the website or digital assets delivered by Digishot, as tracked by agreed analytics tools.
Intellectual Property
Client Materials
You retain full ownership of all materials, content, data, logos, and other intellectual property you provide to Digishot. By providing these materials, you grant Digishot a non-exclusive licence to use them solely for the purpose of delivering the agreed services.
Ownership of Deliverables — Pre-Purchase
All websites, landing pages, digital assets, designs, copy, and other deliverables created by Digishot — including those generated with the assistance of AI tools as part of our Digital Transformation service — remain the exclusive intellectual property of Digishot until full payment for a service tier has been received and confirmed.
Until purchase is completed: Any website, page, or digital asset created and presented to a prospective client is the sole property of Digishot. The prospective client has no right to publish, deploy, copy, distribute, modify, or use the deliverable in any form — whether commercially or personally — without first completing the purchase of a qualifying service plan.
Transfer of Ownership Upon Purchase
Upon receipt of full payment for a Starter, Growth, or Dominate plan, Digishot assigns to the Client ownership of the final deliverables created specifically for their project. This assignment covers the website design, page layouts, written copy, and visual elements unique to the Client's project.
This assignment does not include: underlying frameworks, open-source libraries, third-party components, AI model outputs used in generation, Digishot's proprietary methodologies, internal tooling, or any reusable design system elements not created exclusively for the Client.
Digishot Proprietary IP
Digishot retains ownership of all pre-existing intellectual property, tools, methodologies, AI prompt systems, frameworks, and general know-how. Nothing in these Terms transfers ownership of Digishot's proprietary systems, code libraries, or internal processes — including those used to generate or produce client deliverables.
Portfolio Rights
Unless expressly agreed otherwise in writing, Digishot reserves the right to showcase completed and paid work in its portfolio, case studies, and marketing materials.
AI-Generated Preview Sites & Digital Transformation Service
Preview Delivery
As part of Digishot's Digital Transformation service, we may generate and deliver a bespoke website or landing page to a prospective client — using AI-assisted tools, design systems, and our team's expertise — for the purpose of review and evaluation before purchase. This preview is provided as a demonstration of Digishot's capabilities and as a proposal for the Client's consideration.
Preview Is Not a Transfer of Rights
Delivery of a preview website, HTML file, design mockup, or any related asset does not constitute a transfer of intellectual property, a licence to use, or permission to deploy or publish the asset in any form. The preview remains the exclusive property of Digishot at all times until a qualifying purchase is made.
Receiving a preview file does not give you the right to use it. If you receive an HTML file, design export, or any other format as part of a preview delivery, you are not permitted to host, publish, modify, incorporate, or otherwise exploit that file — even for internal or non-commercial use — without completing the purchase of a qualifying plan.
Prohibited Actions (Pre-Purchase)
Without having purchased a qualifying service tier, the following actions are strictly prohibited:
- Publishing or hosting the preview website on any server, platform, or domain
- Modifying, adapting, or building upon the preview in any way
- Sharing the preview file with third parties (including developers, designers, or contractors) for the purpose of reproduction or development
- Using any portion of the design, copy, or code from the preview in another project or website
- Claiming ownership of, or presenting, the preview as your own work
Self-Development Using Preview Materials
If a prospective client chooses not to purchase a plan and instead uses the preview HTML file — or any content, design elements, code, or structure derived from it — to independently develop, replicate, or produce a website without Digishot's authorisation, this constitutes a material breach of these Terms and an infringement of Digishot's intellectual property rights.
In such cases, Digishot reserves the right to pursue all available remedies under Armenian law and applicable international intellectual property frameworks, including but not limited to seeking damages, an injunction, and recovery of legal costs.
Permitted Use of Preview
A prospective client who receives a preview may:
- View the preview for evaluation purposes
- Share the preview link (if hosted by Digishot) internally with decision-makers
- Provide feedback to Digishot on the design and content
- Proceed to purchase a qualifying plan to obtain full ownership rights
Preview Expiry
Preview sites hosted by Digishot will remain accessible for a period of 30 days from the date of delivery. After this period, the preview may be taken offline at Digishot's discretion. Digishot is under no obligation to maintain a preview beyond this period if no purchase has been made.
Confidentiality
Both parties agree to keep confidential any proprietary, sensitive, or non-public information disclosed during the course of the engagement ("Confidential Information").
Confidential Information shall not be disclosed to third parties without prior written consent, except where required by law or regulation. This obligation survives the termination of any service agreement for a period of 3 years.
Digishot's team members are bound by internal confidentiality agreements. We will not sell, rent, or share your business data with any third party for commercial purposes.
Data & Privacy
Digishot processes personal and business data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.
Data We Collect
In the course of providing services, we may process contact details, business information, website analytics, and other data necessary to deliver agreed services. We do not collect or retain unnecessary personal data.
Your Responsibilities
Where we develop websites or digital tools that process end-user data on your behalf, you are responsible for ensuring your own compliance with applicable privacy laws, including displaying appropriate privacy notices to your users.
Data Security
We implement appropriate technical and organisational measures to protect data against unauthorised access, loss, or disclosure. Our infrastructure partners are certified to recognised security standards.
Warranties & Limitation of Liability
Our Warranties
Digishot warrants that services will be delivered with reasonable skill and care, in accordance with the agreed scope of work. We will remedy material defects in deliverables reported within 30 days of delivery at no additional cost.
Disclaimer
We do not guarantee specific outcomes such as search engine rankings, traffic volumes, conversion rates, or revenue targets. Digital marketing results depend on many factors outside our direct control, including platform algorithm changes and market conditions.
Limitation of Liability
To the maximum extent permitted by law, Digishot's total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you in the 3 months preceding the claim.
We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any matter which cannot be excluded by law.
Cancellation & Termination Policy
All monthly service plans carry a minimum commitment of 12 months from the date the service agreement is signed and the first payment is received. The cancellation terms below apply based on the tier subscribed to.
Tier 1 — Starter Plan
Minimum term: 12 months
Cancellation after 12 months: You may cancel at any time after completing 12 months of service by giving 1 month's written notice. Services will continue at full quality during the notice period and all fees during that period remain payable.
Cancellation before 12 months: If you cancel before completing the 12-month minimum term, a website development fee of 75,000 AMD becomes immediately due. This fee reflects the cost of the website built and delivered to you as part of the Starter plan. Monthly fees already paid are not refundable and do not offset this fee.
Tier 2 (Growth) & Tier 3 (Dominate) Plans
Minimum term: 12 months
Cancellation after 12 months: You may cancel at any time after completing 12 months of service by giving 3 months' written notice. Services will continue at full quality during the notice period and all fees during that period remain payable.
Cancellation before 12 months: If you cancel before completing the 12-month minimum term, a website development fee of 150,000 AMD becomes immediately due. This fee reflects the cost of the full website and digital assets built and delivered to you as part of the Growth or Dominate plan. Monthly fees already paid are not refundable and do not offset this fee.

How to Submit a Cancellation Notice
All cancellation requests must be submitted in writing via email to digishotio@hotmail.com with the subject line "Cancellation Notice — [Your Company Name]". The notice period begins on the date Digishot confirms receipt in writing. Verbal or informal cancellation requests will not be accepted as valid notice.
What Happens During the Notice Period
During any notice period, Digishot will continue delivering services at the same level and quality as before. All monthly fees during the notice period remain payable in full. At the end of the notice period, Digishot will deliver all completed work, transfer domain and hosting access (where applicable), and provide any credentials held on the Client's behalf — subject to all outstanding balances being cleared.
Non-Purchase of a Preview (Digital Transformation)
If a prospective client receives an AI-generated preview site and chooses not to proceed with a purchase, no cancellation fee applies — the engagement simply does not move forward. However, the provisions of Section 05 (AI-Generated Preview Sites) continue to apply in full. The prospective client retains no rights to the preview materials.
Termination by Digishot
Digishot reserves the right to terminate any engagement immediately and without notice if:
- A payment is overdue by more than 30 days
- The Client breaches these Terms materially and fails to remedy the breach within 14 days of written notice
- The Client uses or attempts to use Digishot's deliverables in violation of Section 04 or Section 05
- Continuing the engagement would expose Digishot to legal, financial, or reputational risk
If Digishot terminates due to Client breach, any early exit fee or minimum term obligations remain enforceable.
Effect of Termination
Upon termination for any reason, all outstanding fees — including any applicable early exit fee — become immediately due. Digishot will provide completed work and relevant access credentials within 14 days of final payment clearance. Each party shall return or destroy the other's Confidential Information upon written request.
Intellectual property rights revert in accordance with Section 04: if all fees including any exit fee have been paid in full, ownership of deliverables transfers to the Client. If any amount remains outstanding at termination, ownership remains with Digishot until settled.
Revisions & Changes to Terms
Digishot reserves the right to update these Terms at any time. Material changes will be communicated to active clients via email at least 14 days before they take effect.
The most current version of these Terms will always be available at digishot.io/terms. Your continued use of our services after the effective date of any changes constitutes acceptance of the updated Terms.
Changes to specific service scopes, pricing, or deliverables require a separate written amendment to the relevant service agreement.
Disputes
In the event of any dispute arising from or in connection with these Terms or any service agreement, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days.
If the dispute cannot be resolved through negotiation, either party may refer the matter to mediation before initiating formal legal proceedings. The costs of mediation shall be shared equally between the parties.
Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Armenia. Any disputes not resolved through negotiation or mediation shall be subject to the exclusive jurisdiction of the courts of Yerevan, Armenia.
Where a client is based in a jurisdiction with mandatory consumer protection laws that provide greater protections than these Terms, those protections apply to the extent required by law.
